OFFICIAL NATIONAL SKI PATROL BALLOT AND INFORMATION
The NSP Board of Directors, all Division Directors and the representatives
of the petitioners present and fully support the following proposals for
amending the NSP Bylaws. They jointly submit the following ballot to
implement the intent of the Petition and to seek the approval of the NSP
active members.
1. Term of Office: No member of the NSP Board of Directors, including the
Chair Person, shall serve for more than six (6) years. This provision
shall not prevent present members of the Board of Directors from
completing their existing terms.
2. Nomination Process: To enhance communication among all levels of the
membership of NSP, the Nominating Committee shall be made up of five (5)
persons. In 2005 the Nominating Committee shall be composed of three (3)
Division Directors and two (2) members of the Board of Directors whose
terms will not have expired as of the end of 2005. Thereafter, the
Nominating Committee shall be made up of two (2) Division Directors, two
(2) members of the Board of Directors whose term limits are not expiring,
and a fifth member selected by the other four members of the Nominating
Committee. Members of the Nominating Committee shall not be nominated for
office. To allow members a choice, there shall be more nominees than
there are positions to fill.
3. Election Process: Election will be by member direct vote on ballots
delivered to each active member in a manner provided for in the Bylaws.
The nominees receiving the most votes will fill the available vacancies.
There is no minimum quorum for voting. NSP members shall cast an actual
vote for each individual Board candidate. Only the votes cast shall be
counted.
4. Members Rights: Any changes to the Board nominating process, election
process, Board term limits or quorum requirements for member voting as set
forth in the Bylaws will require the vote of a majority of the NSP active
members voting thereon.
INFORMATION CONCERNING THE FOREGOING BALLOT
Pursuant to Colorado Revised Statutes § 7-127-109, the Board of Directors
of the National Ski Patrol System, Inc. ("NSP"), at the petition
of
members of the NSP, submits this ballot concerning proposed amendments to
the NSP Bylaws to the active members of the NSP. The number of ballots
required to be cast to meet the statutory quorum requirement is
twenty-five percent (25%) of the active members of the NSP, and the number
of approvals must be a majority of the ballots cast.

- NSP will not be informed how any individual member voted.
